Inc. Pros does not determine the best legal entity, tax classification, ownership allocation, fiduciary duty position, licensing requirement, regulatory status, employment classification, securities status, or tax treatment.

2.2 Raise Capital

Inc. Pros may organize fundraising readiness, investor onboarding, deal rooms, subscription tracking, document drafts, funding agreement templates, cap tables, dilution models, filing checklists, closing checklists, and professional handoff packages.

Inc. Pros does not offer, sell, solicit, recommend, underwrite, broker, place, or advise on securities, loans, investments, or investor suitability.

Inc. Pros does not determine investor accreditation, investor eligibility, investor suitability, investment limits, financial capacity, risk tolerance, or source of funds.

Inc. Pros may help organize campaign readiness, Test the Waters materials, disclosure drafts, portal coordination tasks, investor onboarding records, funding agreement packages, cap table records, dilution models, closing records, and post-raise records.

Inc. Pros is not a registered broker-dealer or funding portal and does not operate the intermediary platform required for Regulation CF offerings.

Inc. Pros does not solicit investors, recommend investments, compensate solicitation activity, hold investor funds, custody securities, or provide investment advice.

2.5 Business Credit

Inc. Pros may develop borrower readiness work product, sources and uses schedules, lender-ready packages, debt-service analysis, financing comparison summaries, lender request trackers, application workflow materials, underwriting handoff packages, and financing closing checklists.

Inc. Pros is not a lender, loan broker, credit repair organization, consumer reporting agency, underwriter, guarantor, SBA lender, or fiduciary.

Pros approves the workflow in writing.

Do not upload consumer credit reports or consumer-reporting-agency files. Inc. Pros does not pull credit reports, make credit decisions, or provide credit repair services.

Do not upload medical records, health information, benefits files, disability records, or health-plan information.

Do not upload children's information or information relating to persons under 16.

Do not upload employee personnel files, I-9 records, payroll records, background checks, or regulated employment information unless specifically requested under a counsel-approved workflow.

IncTelligence may use large language models and AI services, including tools such as ChatGPT, Claude, custom GPTs, applications, skills, workspaces, APIs, model context protocols, connectors, automation tools, and related software systems.

Inc. Pros will use commercial, business, or enterprise AI plans for customer work.

Inc. Pros will not use consumer LLM workspaces for confidential customer work unless a future written exception is approved by counsel and disclosed to the customer.

IncTelligence may process information you provide through questionnaires, uploads, workspaces, deal rooms, emails, forms, calls, meetings, instructions, templates, documents, and service channels. This information may be used to assist with drafting, summarizing, organizing, classifying, reviewing, comparing, modeling, and preparing work product.

By using IncTelligence-enabled services, you authorize Inc. Pros to use AI systems, third-party AI providers, automation tools, APIs, connectors, MCPs, workspaces, and related software to process information for service delivery, work product preparation, internal review, quality control, record organization, workflow management, customer support, and professional handoff purposes.

3.6 How We Use Information

We may use information to:

Provide products and services you request.

Process purchases, subscriptions, renewals, payments, refunds, chargebacks, and invoices.

Create, manage, secure, and support your account.

Additional work, changes in jurisdiction, additional filings, additional entities, expedited service, expanded document drafting, professional coordination, revised instructions, or third-party requirements may require additional fees. 5.7 Revisions

Revision rights, if any, are governed by the applicable product description, checkout terms, statement of work, or written service agreement. Revisions do not include new scope, legal advice, tax advice, regulated professional advice, new filings, new entities, new jurisdictions, new transaction structures, or changes caused by inaccurate or incomplete customer information.

5.8 Abandoned Projects

If you do not respond to requests for information, approvals, signatures, or payment, Inc. Pros may pause or close the project after reasonable notice. Reactivation may require an additional fee and updated information. Inc. Pros is not responsible for missed deadlines, expired filings, lost opportunities, failed transactions, or third-party consequences caused by customer nonresponse.

5.9 Filing and Processing Times

Government and third-party processing times are estimates only. Expedited services may be available depending on jurisdiction and third-party availability. Inc. Pros does not guarantee government approval, processing speed, account approval, lender approval, portal approval, investor participation, buyer participation, seller participation, or closing.

5.10 Service Completion

A service may be considered complete when Inc. Pros has delivered the applicable work product, submitted the applicable filing, provided the applicable package, completed the selected service scope, made the purchased material available, or reasonably closed the project due to customer nonresponse. Additional changes, revisions, filings, professional review, or third-party requirements may require additional fees.

5.11 Refunds

Refunds, if any, are determined by the product purchased, stage of work, third-party costs incurred, filing status, digital access, subscription period, and applicable written terms. Fees may be non-refundable once work begins, documents are drafted, files are prepared, digital products are accessed, subscriptions begin, filings are submitted, third-party fees are incurred, or work product is delivered. State fees, filing fees, registered agent fees, portal fees, government fees, third-party fees, payment processing fees, software fees, and professional fees may be non-refundable.

5.12 Subscriptions and Auto-Renewals

Some services may renew automatically, including registered agent services, compliance support, strategic support, Work Shop memberships, and other recurring services. Renewal terms, cancellation rules, renewal dates, fees, and billing intervals will be disclosed at checkout or in the applicable agreement. Where required by law, Inc. Pros will obtain express consent to auto-renewal terms and provide renewal notices, cancellation methods, and other required disclosures. Cancellation stops future renewal charges but does not automatically refund prior charges, third-party fees, filings, digital access, or work already performed unless required by law or stated in the applicable terms.

5.13 Chargebacks and Payment Disputes

You agree to contact Inc. Pros in good faith before initiating a chargeback or payment dispute. Improper chargebacks may delay or suspend services, filings, registered agent service, account access, subscriptions, or delivery of work product. Inc. Pros reserves all rights to contest chargebacks and recover unpaid fees, collection costs, and permitted expenses.

5.14 Customer Responsibilities

You are responsible for providing accurate, complete, current, and authorized information; reviewing all drafts, filings, applications, forms, and work product; obtaining professional advice where needed; responding to requests for information; providing signatures and approvals; paying applicable fees; meeting deadlines; maintaining current contact and billing information; maintaining your own records; and monitoring legal, tax, filing, compliance, licensing, ownership, financing, transaction, and regulatory obligations.

5.15 Digital Products and Templates

Digital products, templates, tools, and Work Shop materials may be available immediately after purchase. Because they are digital, they may be non-refundable once accessed, downloaded, delivered, or made available. 6. IncTelligence Terms and AI Processing Disclosure

6.1 IncTelligence Overview

IncTelligence may use large language models and AI services, including tools such as ChatGPT, Claude, custom GPTs, applications, skills, workspaces, APIs, model context protocols, connectors, automation tools, and related software systems.

These tools may be operated by Inc. Pros or by third-party technology providers.

6.2 Commercial, Business, and Enterprise AI Plans

Inc. Pros will use commercial, business, or enterprise AI plans for customer work.

Inc. Pros will not use consumer LLM workspaces for confidential customer work unless a future written exception is approved by counsel and disclosed to the customer.

6.3 AI Processing Authorization

By using IncTelligence-enabled services, you authorize Inc. Pros to use AI systems, third-party AI providers, automation tools, APIs, connectors, workspaces, MCPs, and related software to process the information and documents you provide for service delivery, work product preparation, record organization, workflow management, internal review, quality control, customer support, and professional handoff purposes.

6.4 AI Output Limitations

IncTelligence-assisted work product may include errors, omissions, outdated information, incomplete analysis, incorrect classifications, unsupported conclusions, formatting defects, or inaccurate summaries.

You are responsible for reviewing all IncTelligence-assisted work product before using it.

Work product that relates to legal rights, tax consequences, securities offerings, lending, accounting, ownership, employment, intellectual property, acquisitions, sales, regulated activities, transaction documents, or professional filings should be reviewed by qualified professionals before use.

6.5 No Professional Advice from IncTelligence

IncTelligence does not replace legal, tax, accounting, securities, lending, investment, valuation, brokerage, fiduciary, or other regulated professional judgment.

Do not upload sensitive personal information, government identification, tax records, financial account information, investor information, confidential third-party information, trade secrets, medical information, children's information, consumer credit reports, or regulated employment information unless it is necessary for the selected service and you are authorized to provide it.

6.7 Third-Party AI Systems

Third-party AI systems may process prompts, inputs, uploaded materials, outputs, metadata, and related information as part of providing the requested services.

Inc. Pros does not control all third-party AI systems, model behavior, processing rules, retention settings, training settings, outages, security practices, or output accuracy.

7. Work Product Terms

9.3 Customer Responsibilities

You must maintain accurate company, contact, owner, officer, manager, billing, and forwarding information. You are responsible for monitoring and responding to notices forwarded to you. You are responsible for maintaining active service, paying renewal fees, and ensuring that your registered agent information remains current.

Inc. Pros is not responsible for missed deadlines caused by inaccurate information, customer nonresponse, inactive service, nonpayment, third-party delay, mail carrier failure, filing office delay, or failure to maintain active registered agent service.

Pros may resign as registered agent, decline renewal, or terminate service where permitted by law and applicable terms, including for nonpayment, inability to contact you, unlawful activity, inaccurate information, risk concerns, or service discontinuation. Inc. Pros may provide notices required by applicable law before resignation or termination.

9.6 Compliance Support

9.8 Beneficial Ownership and Filing-Law Change Notice

Beneficial ownership reporting rules and filing obligations may change. Inc. Pros may provide administrative support and status monitoring but does not provide legal conclusions about beneficial ownership reporting obligations. Customers remain responsible for confirming current beneficial ownership, ownership, licensing, tax, filing, and reporting requirements with counsel or qualified professionals.

10. Professional Handoff Terms

Inc. Pros may prepare materials for review by attorneys, accountants, lenders, advisers, portals, brokers, dealers, investment advisers, financial professionals, or other qualified professionals.

When you ask Inc. Pros to coordinate with a professional or third party, you authorize Inc. Pros to share relevant information and work product with that party for the purpose of completing the requested service or handoff.

Professional handoff materials do not create a professional relationship between you and any third party unless that party separately accepts the engagement.

Inc. Pros does not guarantee that any professional will accept an engagement, provide a particular result, meet a deadline, approve a transaction, make a filing, issue an opinion, provide financing, or complete any action.

11. Refund, Cancellation, Auto-Renewal, and Chargeback Policy

13.2 IncTelligence Consent

I authorize Inc. Pros to use IncTelligence, including third-party AI tools, large language models, custom GPTs, apps, skills, workspaces, APIs, MCPs, connectors, and automation systems, to process the information and documents I provide for service delivery, work product preparation, record organization, workflow management, quality control, and professional handoff purposes.

I understand that IncTelligence-assisted work product may contain errors, omissions, incomplete analysis, or outdated assumptions and that I am responsible for reviewing all work product before use.
